CHRĒMA

Terms of Service

Version 1. Effective 5 October 2026.

Chrēma is operated by Aeternum Systems LLC ("Aeternum," "we," "us" or "our"). These Terms of Service are a binding agreement between you and Aeternum. They govern your use of Chrēma at chrema.co and everything you buy there.

You accept these Terms when you use Chrēma, and again when you check the box that says you agree before you pay. We record which version you agreed to and when. If you do not agree, do not use Chrēma.

Please read Sections 8, 21, 22 and 24 closely. They cover refunds, the limits on our responsibility, and how a dispute is resolved, including a waiver of jury trial and of class actions.

1. Who These Terms Cover

"You" means the person using Chrēma. If you use Chrēma for an organization, "you" also means that organization, and you confirm that you have the authority to accept these Terms for it and to make purchases on its behalf.

You must be at least 18 years old to use Chrēma.

Our Privacy Policy is part of these Terms. It explains what we collect, what we do with it, and when we delete it.

These Terms apply to Chrēma only. Other Aeternum products are governed by their own terms.

2. What Chrēma Is

Chrēma does two things. It matches applicants with funders and programs, and it writes the documents those funders ask for.

Its matches come from public records, chiefly the annual returns private foundations file with the Internal Revenue Service, along with federal and other program listings. Its documents include letters of intent and, when they are offered, full proposals. Chrēma uses artificial intelligence to read, to rank and to write.

Chrēma is a research and drafting service. It does not apply for you, it does not contact any funder for you, and it does not represent you. It is not your agent, attorney, accountant, fundraiser or grant consultant.

3. No Account. Your Private Link.

Chrēma has no accounts and no passwords. Everything you buy lives at a private link. Anyone who has the link can open what it leads to, so keep it private. If you share it, you are responsible for who sees it.

If you lose a link to something you paid for, chrema.co/recover will send every link bought with an email address to that address. A free report has no purchase behind it, so it cannot be sent again. Keep its link.

A link stays live for one year from the day you bought what it leads to. If you buy something else from the same report, the report and everything bought from it stay live for one year from that later purchase. A free report stays live for one year from the day it is finished. When a link expires, the report, your answers and your documents are deleted, and we cannot bring them back. Download anything you want to keep.

4. What Chrēma Sells, and the Price

  1. (a)The match count is free. It tells you how many funders and programs fit before you spend anything.
  2. (b)The Grant Match Report is $149. It is free when there are fewer than three funders or programs for you to act on.
  3. (c)A Letter of Intent is $250, for one funder. Three rewrites come with every letter.
  4. (d)A Standard Proposal and a Federal or SBIR Proposal are sold only when Chrēma offers them, at the price shown at that time.

Every price is a flat, one-time fee in United States dollars. Nothing is a subscription, and nothing is ever a share of a grant or award. The price shown when you check out is the price you pay. We may change prices, and a change never affects something you have already bought. If a tax applies to a purchase, it is shown at checkout before you pay.

5. Payment

Payments are processed by Stripe, Inc. We never receive or store your card number. By paying, you confirm that you are authorized to use the payment method and you authorize the charge. Stripe's own terms apply to the payment itself.

6. Before You Pay, Chrēma Checks. After You Pay, It Delivers.

Before taking your money, Chrēma checks whether a purchase makes sense. For example, it checks whether there are enough matches to charge for, whether it can read your website or your description of your work, whether a funder accepts requests, whether that funder's own stated limits rule you out, and, for a letter, whether your answers are complete. If a check says no, you are not charged.

Those checks are final for that purchase. If Chrēma lets you pay, it delivers. Nothing Chrēma checks after you pay will stop a paid document.

7. Delivery

A report or document is delivered when it is ready at your link. We also email the address you paid with, but delivery does not depend on that email arriving. If an email does not reach you, your purchase is still at its link, and chrema.co/recover can send the link again.

A letter is written after your answers are complete. You can give them before you pay or after.

8. Refunds

This is our complete refund policy.

When we refund you automatically

  1. (a)A report that is not ready within 24 hours of your payment is refunded in full, automatically, and we email you to say so.
  2. (b)A letter or proposal that is not ready within 24 hours of the later of your payment or the moment your answers are complete is refunded in full, automatically, and we email you to say so.
  3. (c)A report with nothing to deliver is refunded in full right away.

If something is running late, we email you once to say we are still working on it and to tell you the time by which it will be finished or refunded.

When we are waiting on you

A letter or proposal cannot be written until your answers are complete. While they are missing there is no deadline and no refund, and your payment is safe. We send a reminder a day after you pay and another a week after. Your purchase stays open for as long as its link is live. If your answers are still incomplete when the link expires, the purchase ends without a refund.

When there is no refund

Once a report or document is delivered, the purchase is final. There is no refund for:

  1. (a)the content, tone or wording of a delivered report or document (that is what the three rewrites are for);
  2. (b)any decision or action of a funder, including a decline, no response, a change in priorities or deadlines, or a foundation that stops giving or closes;
  3. (c)not receiving a grant or award;
  4. (d)information in a funder's filing or listing that is out of date or wrong;
  5. (e)errors in information you gave us; or
  6. (f)a change of mind.

How refunds are paid

A refund is the full amount you paid, returned to the payment method you used. Refunds usually reach your card within 5 to 10 business days, depending on your bank.

Before you dispute a charge

Please write to us first at support@aeternumsystems.com. Most problems are solved quickly that way. If you dispute a charge for something that was delivered, we may give your card issuer the record of the delivery.

Nothing in this Section takes away any right you have under a law that cannot be waived by agreement.

9. Rewrites

Every letter comes with three rewrites, which you can use at the letter's link while it is live. A rewrite that fails to finish does not count against your three.

10. Your Information and Your Responsibilities

You agree to give Chrēma accurate and complete information, and to keep it accurate.

You are the applicant of record. Before you send anything to a funder, you are responsible for reading it in full and for checking every figure, name, date, deadline, address and requirement against the funder's own current materials. You alone decide whether, when and how to apply.

When you tell us something about yourself that we cannot confirm, such as your tax status or your SAM.gov registration, we rely on what you tell us. A report reads with the same confidence either way, so an error there is yours to catch.

If you give us information about other people, such as the name and title of the person who leads your organization or a contact's telephone number and email, you confirm that you are allowed to share it with us for this purpose.

Do not give us information we do not ask for, such as Social Security numbers, bank or card numbers, or anyone's health information.

11. Written by Artificial Intelligence

The write-ups in a report, and every letter and proposal, are written by artificial intelligence models from public records and from your answers, and then checked by our software. Artificial intelligence can be wrong, incomplete or out of date, and it can phrase something in a way you would not. Where Chrēma lacks a fact, it marks the gap rather than inventing one, but you must read every word before you use it.

12. Where the Data Comes From

Chrēma's funder and program information comes from public sources, including the returns private foundations file with the Internal Revenue Service, the IRS Business Master File, Grants.gov, SBIR.gov, SAM.gov and SEC EDGAR, together with programs found through research and reviewed before they are added.

A foundation files its return once a year, and the return can be out of date by the time it is public. We do not guarantee that any information from these sources is accurate, complete or current.

Chrēma is not affiliated with, endorsed by or sponsored by the Internal Revenue Service, any other government agency, or any funder it names. Funders are named only to identify them.

13. No Guarantee of Any Award

No award is ever guaranteed. We do not promise that any funder will read, answer, invite or fund you. A match is a judgment about fit based on public records. It is not a promise.

14. Not Legal, Tax or Financial Advice

Nothing Chrēma provides is legal, tax, accounting, financial or compliance advice. Using Chrēma does not create an attorney-client relationship or any other professional relationship. For questions about your tax status, federal grant compliance, budgets or contracts, consult a qualified professional.

15. What You May Do With What You Buy

You own the letters and proposals Chrēma writes for you. You may edit them, use them in your applications, and share them with your staff, board, fiscal sponsor or consultant.

A report is licensed to you for your organization's own use in finding and applying for funding. You may not sell, publish or redistribute a report, or any of Chrēma's data, or use either to build a database, product or service that competes with Chrēma.

Because documents are written by artificial intelligence, another applicant may receive wording that is similar to yours. Your rights do not extend to their documents.

16. What Belongs to Us

Chrēma, including its software, data compilations, rankings, methods, instructions to its models, design, name and marks, belongs to Aeternum. Nothing in these Terms transfers any of it to you except the rights stated in Section 15. If you send us suggestions or feedback, we may use them without any obligation to you.

17. How You May Not Use Chrēma

You may not:

  1. (a)give false information, or pretend to be an organization or person you are not;
  2. (b)buy for an organization you are not authorized to act for;
  3. (c)use Chrēma to mislead a funder, including by inventing programs, outcomes, budgets, partners or results;
  4. (d)scrape, crawl or bulk download from Chrēma, send automated requests, or get around any limit;
  5. (e)copy, reverse engineer or extract Chrēma's software, models, instructions or data, except as the law allows;
  6. (f)probe or test Chrēma's security, interfere with its operation, or upload anything harmful;
  7. (g)use Chrēma or anything it produces to train an artificial intelligence model; or
  8. (h)use Chrēma in violation of any law, including United States export control and sanctions laws.

18. Our Right to Refuse, Limit or Stop Access

We may refuse a purchase before payment, and we may limit or stop access to Chrēma, when we reasonably believe it is needed to protect Chrēma, its users or anyone else, or when these Terms have been broken. If we stop your access for a reason that is not your fault, we will refund any purchase that has not yet been delivered.

19. Other Companies' Services

Chrēma relies on other companies for payments, email, hosting and artificial intelligence. We are not responsible for their outages, acts or policies. Links in Chrēma to a funder's website or any other site are for your convenience, and we are not responsible for what those sites contain.

20. Changes to Chrēma

We may add, change or remove features at any time. A product that is not on sale is not offered until it is, and these Terms apply to it when it goes on sale.

21. Disclaimer of Warranties

CHRĒMA AND EVERYTHING IT PROVIDES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, AETERNUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS AND UNINTERRUPTED OR ERROR-FREE OPERATION. AETERNUM DOES NOT WARRANT THAT ANY MATCH, REPORT OR DOCUMENT WILL RESULT IN FUNDING.

22. Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, AETERNUM AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, FUNDING, GRANTS, AWARDS OR FUNDING OPPORTUNITIES, OR FOR ANY MISSED DEADLINE, ARISING FROM OR RELATED TO CHRĒMA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO CHRĒMA WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PURCHASE THE CLAIM CONCERNS, OR FIFTY DOLLARS IF THE CLAIM CONCERNS NO PURCHASE. THESE LIMITS APPLY WHATEVER THE LEGAL THEORY, WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANYTHING ELSE.

23. Indemnification

You agree to defend, indemnify and hold harmless Aeternum and its members, officers, employees and agents from any claim, loss, damage or expense, including reasonable attorney fees, arising from the information you give us, anything you submit to a funder, your breach of these Terms, or your violation of any law or anyone else's rights.

24. Disputes

If you have a problem with Chrēma, write to us first at support@aeternumsystems.com and describe it. We will try to resolve it with you within 30 days, and neither of us will start a court case before then, except to stop an urgent harm.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute arising from these Terms or Chrēma must be brought only in the state or federal courts located in Cuyahoga County, Ohio, and you and we consent to the jurisdiction of those courts. Either of us may instead bring a claim in small claims court if it qualifies.

TO THE FULLEST EXTENT THE LAW ALLOWS, YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. Any claim must be brought individually, and not as a plaintiff or class member in any class, collective or representative action.

Any claim arising from these Terms or Chrēma must be filed within one year after it arises, or it is permanently barred.

25. Where Chrēma Is Offered

Chrēma is offered for applicants in the United States, meaning the fifty states and the District of Columbia. You confirm that you are not located in a country subject to a United States embargo and that you are not on any United States government list of restricted parties.

26. Emails and Notices

Chrēma sends only the emails your purchase needs: confirmation of your payment, word that your purchase is ready, a notice if it is running late, reminders while we wait for your answers, notice of a refund, and links you ask to have sent again. There is no mailing list and no marketing email.

You agree that we may give you notices electronically, and that electronic notices meet any requirement that a notice be in writing. Notices to us go to support@aeternumsystems.com.

27. Events Beyond Our Control

We are not responsible for a delay or failure caused by events beyond our reasonable control, including outages of the companies we rely on, internet or power failures, cyberattacks, natural disasters, government action or changes in law. The automatic refunds in Section 8 still apply.

28. Assignment

You may not transfer these Terms without our written consent. We may transfer them, including as part of a merger, acquisition or sale of all or part of our business.

29. General Terms

These Terms, with the Privacy Policy, are the entire agreement between you and Aeternum about Chrēma. If any part is found unenforceable, the rest remains in effect, and the unenforceable part is enforced as far as the law allows. Our failure to enforce a provision is not a waiver of it. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. Headings are for convenience only. Sections 3, 8 and 10 through 31 survive the end of your use of Chrēma.

30. Changes to These Terms

We may update these Terms. When we do, we post the new version with a new version number and date. Each purchase is governed by the version you agreed to when you made it. Your use of Chrēma after a new version is posted means you accept it for that use.
